1. Agreement to these terms
These Terms and Conditions ("Terms") govern your access to and use of WallCard, including the WallCard mobile application, wallet services, card-based signing flows, developer SDK, and related products made available by NodeRails ("NodeRails", "we", "us", or "our").
By creating a WallCard account, issuing a card, connecting a session, or otherwise using our services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.
If you do not agree, do not access or use WallCard.
2. Description of services
WallCard provides a self-custodial wallet and card experience that lets you view balances, receive assets, initiate transfers subject to your approval, and authorize blockchain transactions through PIN, email verification, biometric checks on your device, and in-app approval flows.
WallCard is designed to work with supported blockchain networks and third-party applications that integrate with the NodeRails Card Network. Availability of specific chains, tokens, features, or regions may change over time without notice.
3. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement to use WallCard.
You agree to provide accurate registration information, including your legal name, country of residence, and date of birth, and to keep that information current where the product requires it.
You may not use WallCard if you are located in, ordinarily resident in, or subject to sanctions or export restrictions that prohibit your use of digital asset services under applicable law.
4. Account registration and security
You are responsible for all activity that occurs under your WallCard account when your authentication factors are used, whether or not you authorized a specific session.
You must not share your PIN, one-time codes, refresh tokens, or signing approvals with anyone. NodeRails will never ask you to disclose your PIN by email, phone, or support chat.
You agree to notify us promptly if you believe your account, email, or device has been compromised.

- Enable device lock and biometrics where available on your phone
5. Self-custodial wallet
WallCard is self-custodial. You control your wallet credentials and approval steps. NodeRails does not hold your private keys in a way that allows us to move your funds without your authorization through the approved signing flows.
You are solely responsible for safeguarding your 6-digit card PIN, email access, and device security. If you lose your PIN or access credentials, we may not be able to restore access to your wallet or funds.
You acknowledge that blockchain transactions are generally irreversible once confirmed on a network.
6. License and acceptable use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use WallCard for personal or internal business purposes in accordance with these Terms and applicable documentation.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Services except as expressly permitted by law or with our prior written consent.
You may not use WallCard for unlawful activity, fraud, sanctions evasion, money laundering, market manipulation, or any purpose prohibited by applicable law.
You may not attempt to circumvent security controls, probe or scan systems without authorization, interfere with service operation, or access another user's account.
7. Transactions, signing, and fees
When you initiate a send, borrow, connect, or signing request, you authorize WallCard to prepare and submit the transaction only after you complete the required approval steps shown in the product.
Network fees (such as gas on Ethereum-compatible networks or fees on Solana) are set by the applicable blockchain and may be deducted from your balance. We do not guarantee transaction speed, finality, inclusion, or success.
You are responsible for entering correct recipient addresses, amounts, asset selections, and chain selections. Sending to an incorrect address may result in permanent loss of funds.
Displayed balances, quotes, and portfolio values are informational and may be delayed or inaccurate due to network conditions or third-party data sources.
8. Third-party services and integrations
WallCard may interact with third-party RPC providers, signing infrastructure, analytics, email delivery, push services, and decentralized applications. Your use of third-party sites or dApps may be subject to their own terms and policies.
NodeRails is not responsible for the acts or omissions of third parties, including blockchain networks, wallet integrators, liquidity protocols, or merchant sites that request signatures through WallCard.
Any optional third-party features are provided for convenience and may be modified or discontinued at any time.
9. Intellectual property
WallCard, the NodeRails Card Network, our logos, documentation, software, and related content are owned by NodeRails or our licensors and are protected by intellectual property laws.
These Terms do not grant you any rights to our trademarks, service marks, or branding except as needed to use the Services in compliance with our brand guidelines, if provided.
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation to you.
10. Experimental and beta features
We may offer preview, beta, or experimental features. Such features may be incomplete, change without notice, or be withdrawn at any time.
Beta features are provided without warranties and may have separate usage limits communicated in the product or documentation.
11. Privacy
Our collection and use of personal information is described in the WallCard Privacy Policy available at /privacy.
By using WallCard, you acknowledge that you have reviewed the Privacy Policy.
12. Disclaimers
WallCard and the NodeRails Card Network are provided on an "as is" and "as available" basis to the fullest extent permitted by law.
We do not provide investment, tax, accounting, or legal advice. Nothing in the Services constitutes a recommendation to buy, sell, or hold any digital asset.
We do not warrant uninterrupted or error-free operation of the Services, compatibility with every device, or that defects will be corrected immediately.
Digital assets are volatile and may lose value. You assume all risk associated with holding and transacting in digital assets.
13. Limitation of liability
To the maximum extent permitted by applicable law, NodeRails and its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or digital assets, arising from or related to your use of WallCard.
Our aggregate liability for any claim relating to the Services will not exceed the greater of (a) one hundred U.S. dollars (USD $100) or (b) the fees you paid to NodeRails for WallCard in the twelve (12) months before the event giving rise to the claim, if any.
Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the minimum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless NodeRails and its affiliates and personnel from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your misuse of WallCard, violation of these Terms, violation of law, or infringement of another party's rights.
15. Suspension and termination
We may suspend or terminate access to WallCard if we reasonably believe you have violated these Terms, pose a security risk, create legal exposure for us, or if required by law.
You may stop using WallCard at any time. Termination does not affect your ownership of on-chain assets, but you may lose access to WallCard-specific interfaces if you cannot satisfy authentication requirements.
16. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Material changes may also be communicated through the app or by email where appropriate.
Your continued use of WallCard after updated Terms take effect constitutes acceptance of the revised Terms, subject to applicable law.
17. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which NodeRails operates the WallCard service, without regard to conflict-of-law rules.
Before filing a formal dispute, you agree to contact us at the address below and allow a reasonable period, not less than thirty (30) days, to resolve the matter in good faith.
Except where prohibited by applicable law, you and NodeRails agree that disputes will be resolved in the courts located in the jurisdiction of our principal place of business, unless we agree in writing to an alternative forum.
18. General provisions
Entire agreement: these Terms and the Privacy Policy constitute the entire agreement between you and NodeRails regarding WallCard and supersede prior understandings on the same subject.
Severability: if any provision is held invalid, the remaining provisions remain in full force and effect.
No waiver: failure to enforce a provision is not a waiver of our right to enforce it later.
Assignment: you may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Export compliance: you agree to comply with applicable export control and sanctions laws when using WallCard.
Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control, including network outages, blockchain congestion, or infrastructure provider failures.
